General Terms and Conditions

for the Service Agreement of Business Entity Zsolt Kovács – IBD

Article I.

Introductory Provisions

1. These General Terms and Conditions (hereinafter referred to as “GTC”) govern the relationship between the Service Provider and the Client regarding the provision and use of services available on the website www.ibdexpansion.com.

2. Definitions:

  • Service Provider: Zsolt Kovács – IBD, IČO: 44 352 972, with registered address at Cintorínska ulica 290/5, 076 43 Boťany, registered in the business register maintained by the Okresný úrad Trebišov, registration number: 870-12646. The Service Provider is also the Operator of this website.

  • Client: The legal entity or organization ordering, requesting or using the paid services of the Service Provider.

  • Contracting parties: The Service Provider and the Client referred to collectively.

  • Registered User: The legal entity or other organisation that created a profile on the website, or using the free services of the Service provider.

  • Advertiser: Registered User who opt to publish ads within the service „Get Noticed!”.

  • Visitor: The individual, legal entity or other organization visiting the website and browsing on it.

  • Company database: the database of companies, organisations and freelancers created and continuously maintained by the Service provider on a separate online space only accessible by the Service provider.

  • website: refers to www.ibdexpansion.com.

3. These GTC were created in accordance with § 273, paragraph 1 of Act No. 513/1991 Coll. of the Commercial Code as amended (hereinafter referred to as “Commercial Code”).

4. In cases where the parties have agreed to different terms than those specified in these GTC, the agreement between the parties shall take precedence.

Article II.

General Conditions of the Services and the use of the Website

II.1. Subject of Service

1.The Service Provider agrees to offer services that include connecting the Client with third parties and/or providing consulting, marketing, business development or other services directly or through third parties. Third parties in this context may refer to legal entities, foreign legal entities or government or local authorities. Services will be provided based on an order/ request and availability.

2. Some services may result in the delivery of tangible outputs – e.g., content for a website, the development of a business strategy, negotiation of an agreement, pitch deck or other presentation, or other one-time activities that require a tangible result. In these cases, a separate “contract for work” or “written agreement” will be drawn regarding the scope, conditions, and expected results of cooperation.

3. In this context, email communication containing clear statements of interest and clear approval of offered conditions is considered a written agreement, however establishment of a long term cooperation requires the signing of separate contract.

4. By registration on the website the Registered User agrees to become part of the Service Provider’s Company database. This database serves as the base of information for future connections between the Registered User and the potential business partners identified by the Service Provider.

II.2. Specification of services

II.2.1.1. Description of the service “Get Noticed!”

1. The service provides a solution for the Registered User to promote it’s activities by publishing structured and anonymous advertisements on the website – both offers and requests.

2. Ads can only be created and published by Registered Users in the “Notice Offers!“ or „Notice Requests!“ (collectively referred to as „Notice Boards”) sections of the website. Advertisement in this form is called a “Notice”.

3. Registered Users can directly request connection with the Advertiser using the „Request connection“ button on the notices.

4. Visitors can view the ads without registration, but can request connection with the Advertiser only through the Contact form or by sending email to the address contact@ibdexpansion.com,

5. Registration on the website and publication of ads within this service is free, connection with the Advertiser is a paid service. By requesting connection the Registered User becomes Client of the Service Provider.

6. The Registered User agrees to not publish advertisements containing personal data or other information that could lead to the identification of the Registered User.

II.2.1.2. Process and price of the service „Get Noticed!”

1. Ads can only be created and posted by Registered Users once their profile is finalized, meaning that the user is identifiable by the Service Provider as an existing legal entity. This condition is applied to ensure the safety of the Advertisers.

2. When a Registered User clicks the “Request connection” button, both parties (the Registered User and the Advertiser) are notified by email, and the following information are exchanged: Company name, Country of residence, Company website, Area of business, and contact details from the “Contact for matchmaking and marketing purposes” section of the company profile. Sending these emails constitutes the delivery of the service.

3. Price: €40.00/ connection (+ VAT if applicable, i.e., if the company is located in an EU member state outside Slovakia) will be invoiced to the company requesting the connection, due after delivery and valid for 8 days. The form of payment is bank transfer. The details for the payment will be present in the invoice.

4. Ads published on the website are divided into Offer Notices (available in the Notice Offers! section of the website) and Request Notice (available in the Notice Requests! section of the website) .

5. Offer Notices may include the following information:

  • Country of Residence

  • Area of Business

  • Expertise offered

  • Reach

  • Communication available in languages

  • Additional information
    The text must not include personal or identifiable information or content that may be considered offensive, discriminatory, or non-compliant with Slovak ethical and legal standards.

6. Request Notices may include the following information:

  • Country of Residence

  • Area of Business

  • Expertise requested

  • Target countries

  • Communication available in languages

  • Additional information
    Again, the text must comply with legal and ethical standards and avoid personal or identifiable information.

7. By publishing the advertisement, the Registered User expresses interest in connection with other Registered Users of the website. If a connection request is made by other Registered Users, no preliminary screening of the interest in connection by the advertising company will occur.

8. If a Visitor does not wishes to register on the website, but based on it’s advertisement wants to connect with the Advertiser, it can request this by sending email on the address contact@ibdexpansion.com or filling out the contact form on the homepage. In both cases it is advised to the Visitor to include the ad’s identification number and Title for identification purposes. This process will trigger the “Get Matched!” service, and the terms associated with that service apply.

9. The Service Provider as the operator of the website is not responsible for the content of ads published within this service. If an ad is found to be non-compliant with these GTC, the Advertiser or the ad causes physical, psychological, legal, ethical, financial (including late or failed payment) or other harm to the Service Provider, to the Advertisers, or other potential partners from the Company database, the Service Provider depending on the situation may request the correction or removal of the ad, delete it directly, or terminate the Registered user‘s account and remove the Registered user as a viable partner option from the Company database.

II.2.2. Description, process and price of the service“Get Matched!”

1. The service provides a solution for the Client to connect with a potential partner, using direct assistance from the Service Provider. The connection is made at the Client‘s request, based on the previous communication between the Contracting parties and with the Client‘s consent. Registration on the website is not required to use this service, but being part of the Service Provider’s Company database is necessary.

2. When the Client requests connection with a potential partner, the Service Provider searches it’s Company database for potential partners and if a suitable match is found, connects with it to inquire about the interest in the connection. If the interest is confirmed, the Client is notified about the possible match and is requested to confirm it’s interest in connection. In case of confirmation the contact details are exchanged between the parties in form of an email.

3. If the potential partner is not yet part of the Service Provider’s Company database, but is interested in connection, the Service Provider requests from it the information that are necessary to make the connection.

4. The following information are exchanged: Company name, Country of residence, Company website, Area of business, and contact details from the “Contact for matchmaking and marketing purposes” section of the company profile. This constitutes the delivery of the service.

5. Price: €80.00/ connection (+ VAT if applicable, i.e., if the company is located in an EU member state outside Slovakia), invoiced upon delivery, valid for 8 days. The form of payment is bank transfer. The details for the payment will be present in the invoice.

6. If the Client or the potential partner are discovered to be non-compliant with these GTC, they cause causes physical, psychological, legal, ethical, financial (including late or failed payment) or other harm to the Service Provider, the Advertisers, or other potential partners from the Company database, the Service Provider depending on the situation may terminate the Registered user‘s account and remove the Registered user as a viable partner option from the Company database.

7. If the Service Provider is within 8 days upon the order unable to find a suitable match for the Client in the Company database, the following options should be presented to the Client:

  • to remain passive – in this case the information regarding the offers and/or needs of the Client will remain in the Company database for the duration of one year (with revision of the situation after this period) and in case if a suitable match is discovered they will be notified about this development and the service may proceed.

  • to become Registered User of the website and create a “Notice”

  • to utilise the service “IBD Representative” and delegate the task of finding a suitable business partner to the Service Provider

  • to terminate the service

II.2.3. Description, process and price of the service „IBD Representative”

1. During the implementation of this service the Service Provider represents the Client before a third party. The scope and terms of the representation must be agreed upon and confirmed in a separate written agreement. The Service Provider will prepare a price offer and a plan of execution for the implementation of the service.

2. In this context, email communication containing clear statements of interest and clear approval of offered conditions is considered a written agreement, suitable to trigger the execution of the service and to set up short term assignments within the delivered service, however establishment of the long term cooperation requires the signing of separate contract.

3. Price: €160.00/ service (+ VAT if applicable, i.e., if the company is located in an EU member state outside Slovakia ), invoiced upon written agreement of the details and plan of the service delivery, valid for 8 days. The form of payment is bank transfer. The details for the payment will be present in the invoice. Further costs will be invoiced according to written agreements between the Service Provider and the Client.

4. In this context, email communication containing clear statements of interest and clear approval of offered conditions is considered a written agreement, suitable to trigger the execution of the service and to set up short term assignments within the delivered service, however establishment of the long term cooperation requires the signing of separate contract.

5. If the Client is discovered to be non-compliant with these GTC, they cause physical, psychological, legal, ethical, financial (including late or failed payment) or other harm to the Service Provider, the Advertisers, or other potential partners from the Company database, the Service Provider depending on the situation may terminate the Registered user‘s account and remove the Registered user as a viable partner option from the Company database.

II.2.4.“Business Development” and Other Services

1. “Business development” and other services provided by the Service Provider are subject to individual written agreements regarding price, scope, and delivery conditions.

2. In this context, email communication containing clear statements of interest and clear approval of offered conditions is considered a written agreement, suitable to trigger the execution of the service and to set up short term assignments within the delivered service, however establishment of the long term cooperation requires the signing of separate contract.

3. If the Client is discovered to be non-compliant with these GTC, they cause physical, psychological, legal, ethical, financial (including late or failed payment) or other harm to the Service Provider, the Advertisers, or other potential partners from the Company database, the Service Provider depending on the situation may terminate the Registered user‘s account and remove the Registered user as a viable partner option from the Company database.

Article III.

Determination of Place and Date of Delivery

1. The place of delivery of services under these GTC is determined individually for each Client in accordance with §15 of Act 222/2004 Coll. on Value Added Tax.

2. For the service “Get Noticed!”, the date of delivery is the date the email is sent to the Client with the contact details of the Advertiser.

3. For the “Get Matched!” service, the date of delivery is the date the email is sent to the Client with the contact details of the potential partner which confirmed interest in the connection.

4. For the service “IBD Representative”, the 1st date of delivery is the date the first invoice is sent, which marks the start of service, after written confirmation of the proposed process and conditions by the Client.

Article IV.

Trade Secret

1. Information exchanged during communication between the Client and the Service Provider, whether in person, by phone, in writing, electronically, or by any other means is confidential and subject to trade secret protection under the EU Directive on the Protection of Trade Secrets 2016/943.

2. The Service Provider may share information with potential partners of the Client only with the Client’s consent, in accordance with personal data processing regulations under Slovak Act on personal data protection No. 18/2018 Coll.

Article V.

Copyrights and Other Intellectual Property Rights

1. The website www.ibdexpansion.com and all its subpages, their design, layout, and all information, including the source code, are protected by Act No. 185/2015 Coll. on Copyright and Related Rights of the Slovak Republic.

2. The Service Provider holds all intellectual property rights to the content on the website.

3. Registered Users may share information and create ads on the website in accordance with these GTC. They are responsible for their content and may edit or delete their profiles and ads at any time.

Article VI.

Prohibition of Fake or Spam Accounts and activities

Our services are based on genuine and trustworthy cooperation. As such, the creation, use, or operation of fake, automated, or spam accounts or Notices (i.e. advertisements on our website) is strictly prohibited. We reserve the right to suspend, restrict, or permanently terminate any account or activity including the Notices created on our website that we determine, in our sole discretion, to be:

  1. Fake or Misleading: Accounts or Notices that impersonate individuals, businesses, or entities, or provide false information.
  2. Automated or Bot-Generated: Accounts or Notices created or managed using scripts, bots, or any form of automation.
  3. Engaged in Spam or Malicious Activities: Accounts or Notices that engage in bulk messaging, unsolicited promotions, fraudulent activities, or attempts to manipulate engagement metrics.

If we suspect an account or Notice violates these terms, we may take action without prior notice, including but not limited to account suspension, permanent termination, or legal action.

Article VII.

Final statements

1. The Service Provider reserves the right to change these GTC. Any changes to these GTC will be posted on the website, and users will be notified via email prior to the changes taking effect.

2. These terms are governed by and construed in accordance with the laws of the Slovak republic.

3. In cases where the parties have agreed to different terms than those specified in these GTC, the agreement between the parties shall take precedence.

4. The Data Protection and Use Policy is available separately on this website.

5. The Service Provider is not liable for any loss or damage arising from the use or reliance on the services provided.

6. These GTC are effective as of 12.3.2025
